How to start a company in Dominican Republic?

Companies are fundamental to promote the development of a country. When incorporating a company it is important to know the necessary requirements for its creation. In a previous article we talked about the different types of companies and corporations that exist.

In this article we tell you about the steps to create and the process of legal incorporation of a company in the Dominican Republic.

Procedures to incorporate a company in the Dominican Republic:

It is important to keep in mind that the costs will depend a lot on the type of company or corporation to be formed as well as the capital of the company. Below, we present incorporation requirements as well as the estimated time per procedure:

Steps:

Register the commercial name in the National Office of Industrial Property (ONAPI):

Time in days: approximately 5 working days.

Cost of payment of incorporation tax: according to the authorized capital stock.

Requirements:

  • Completion of the application form.
  • Denomination of the commercial name whose registration is requested.
  • Copy of the applicant’s identity document.
  • Physical address and e-mail address.
  • To make the corresponding payment.
  • Payment of taxes for the incorporation of the company at the General Directorate of Internal Taxes (DGII).

Register the legal documents in the corresponding Chamber of Commerce and Production:

Time in days: approximately 5 working days.

Requirements:

  • With the certificate of the approved trade name, the articles of incorporation or partnership agreement must be prepared as appropriate.
  • Submit the original legal documents and three copies.
  • Fill out the application form for Commercial Registration.
  • Copies of the identity documents of all partners and shareholders. If the partners are from other commercial companies, the identification documents of such companies must be submitted.
  • Copy of the registration of the commercial name.
  • Copy of the tax payment receipt for the incorporation of the company.

Request the National Taxpayer Registry (RNC) at the General Directorate of Internal Taxes (Dirección General de Impuestos Internos):

Time in days: approximately 7 working days.

Requirements:

  • National Taxpayer Registration Form (RNC).
  • Copy of the Commercial Name registration.
  • Copy of the Commercial Registry.
  • With the above documents, make the application to the General Directorate of Internal Taxes (DGII), free service.

Registration of the company at the Social Security Treasury:

Time in days: Approximately 5 working days.

Requirements:

  • Employer Registration Form (DAE-FO-007).
  • Copy of last assembly. Not mandatory for EIRL. *
  • Copy of bylaws stamped by the Chamber of Commerce and Production.
  • Certification of registration issued by DGII specifying Tax Regime and since when it is registered. *
  • Copy of the Assignment Act in the National Taxpayers Registry, issued by the DGII. *
  • Copy of the Mercantile Registry in force
  • Letter requesting the registration specifying authorized representative, company seal and signed by the Manager or President. *
  • Copy of the ID of the manager or president and of the authorized representative.

Registration of the company with the Ministry of Labor

Time in days: Approximately 1 day.

Requirements:

  • Employers must register the National Taxpayers Registry (RNC), identity card or passport number and create a password and then proceed to complete the data of the Company, the Establishment and register workers.
  • Purchase the Form at the Treasury Division in any of the Local Representations of the Ministry of Labor or through Electronic Recharge with your credit or debit card.

To validate the registration, the employer must enter the data of the purchased form which is composed of a PIN with receipt number and approval code.

If you are going to create a company that is going to perform Industrial Processes, in addition to the above requirements, you must have these documents:

  • Industrial Registration granted by Pro-Industria.
  • Sanitary Registration granted by the Secretary of State of Public Health and Social Assistance.
  • Environmental Permit granted by the Secretary of State for the Environment and Natural Resources.

What are the scopes of a company after its incorporation?

  • Opening of bank accounts.
  • Acquisition and commercialization of real estate.
  • Access to corporate credit applications in banking institutions.
  • Issuance of invoices with tax receipt number and RNC number.
  • To act as a supplier of the state.

To register as a supplier of the Dominican State:

Time in days: Approximately 8 working days.

Requirements:

  • Simple original declaration, which does not need to be notarized. It must be valid for at least thirty (30) calendar days from the date of signature.
  • Simple Declaration for Individuals.
  • Simple Declaration for Legal Entities.
  • Completion of the application form (If the application is in person).
  • Form for registration-update in the Suppliers Registry and bank account for payment purposes.
  • Copy of the Mercantile Registry by the corresponding Chamber of Commerce and Production. (In case the corporate purpose is not complete in the Commercial Registry, a copy of the by-laws must be submitted).
  • Copy of the bylaws (for newly created companies) or of the last assembly held where the shareholder composition is verified, registered and stamped before the corresponding Chamber of Commerce and Production.
  • When a company is a partner or shareholder of another company that is applying for or has a State Supplier Registration, it must submit a copy of the bylaws or of the last meeting held where the corporate composition of the shareholder or partner company is verified.
